1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and SMBPulse Solutions ("Company," "we," "us," or "our") governing your use of the Asset Engine platform and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must meet the following requirements to use the Service:

  • You must be at least 18 years of age
  • You must provide accurate and complete registration information
  • You must have the legal capacity to enter into binding contracts
  • You must not be prohibited from using the Service under applicable laws

3. Account Registration and Security

3.1 Account Creation

To use AssetSnap, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized account access

3.2 Account Responsibility

You are responsible for all activities that occur under your account. You are solely responsible for maintaining the security of your account credentials and for all activities conducted through your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You specifically agree NOT to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload or transmit malicious code, viruses, or harmful files
  • Attempt to gain unauthorized access to the Service or other systems
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) without authorization
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to store or transmit illegal content
  • Impersonate any person or entity
  • Collect or harvest user information without consent
  • Use the Service to spam or send unsolicited communications

5. Organizations and Multi-Tenant Access

5.1 Organization Setup

AssetSnap allows you to create and manage organizations for multi-user collaboration. When you create an organization, you agree to:

  • Provide accurate organization information
  • Have authority to represent the organization
  • Be responsible for all activities within your organization
  • Manage user permissions appropriately

5.2 Team Member Responsibility

Organization administrators are responsible for managing team members, their access levels, and ensuring team members comply with these Terms.

6. Asset Data and Content

6.1 Your Data Ownership

You retain all rights, title, and ownership to the data you submit to AssetSnap, including:

  • Asset information and records
  • Financial data (purchase costs, depreciation values)
  • Uploaded files (documents, images, invoices, warranties)
  • Organization and team member information

6.2 License to Process Your Data

By using the Service, you grant us a limited license to:

  • Store and process your data to provide the Service
  • Display your data to authorized users in your organization
  • Back up and secure your data
  • Analyze usage patterns to improve the Service (in aggregated, anonymized form)

6.3 Content Responsibility

You are solely responsible for the accuracy, legality, and appropriateness of all content and data you upload to AssetSnap. You warrant that you have all necessary rights and permissions to upload and process this data through our Service.

7. Service Availability

We strive to provide reliable service, but we do not guarantee:

  • 100% uptime or uninterrupted access
  • Error-free operation
  • That the Service will meet all your specific requirements

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may perform scheduled maintenance that temporarily affects Service availability.

8. Payments and Billing

8.1 Subscription Plans

AssetSnap may offer paid subscription plans. When you subscribe to a paid plan:

  • You agree to pay all fees associated with your chosen plan
  • Fees are billed in advance on a recurring basis (monthly or annually)
  • You authorize us to charge your payment method automatically
  • All fees are non-refundable unless otherwise stated

8.2 Price Changes

We may change subscription prices at any time. Price changes will:

  • Be communicated to you in advance
  • Take effect at your next billing cycle
  • Give you the option to cancel before the new price applies

8.3 Late Payments

If payment fails, we may suspend or terminate your access to paid features until payment is received. Continued non-payment may result in account termination.

9. Intellectual Property

9.1 Our Rights

The Service, including its design, code, features, and documentation, is owned by SMBPulse Solutions and is protected by copyright, trademark, and other intellectual property laws. You may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer or attempt to extract source code
  • Remove or alter any proprietary notices
  • Use our trademarks or branding without permission

9.2 Feedback

If you provide feedback or suggestions about the Service, we may use that feedback without any obligation to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of data or information
  • Loss of profits or revenue
  • Business interruption
  • Loss of assets or equipment value
  • Costs of procurement of substitute services

Our total liability to you for all claims arising from or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is greater.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or reliability of data

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any data loss will not occur.

12. Indemnification

You agree to indemnify, defend, and hold harmless SMBPulse Solutions, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content or data you upload to the Service

13. Termination

13.1 Termination by You

You may terminate your account at any time through the account settings or by contacting support. Upon termination:

  • You will lose access to the Service
  • Your data will be deleted within 30 days
  • No refunds will be provided for unused subscription time

13.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • Your account poses a security risk
  • Payment is not received after multiple attempts

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.

15. Dispute Resolution

15.1 Informal Resolution

If you have a dispute with us, please contact us first at support@smbpulse.com to attempt to resolve the issue informally.

15.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in California, United States.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in California for the resolution of any disputes.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SMBPulse Solutions regarding the Service.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
